Policies, Terms & Conditions

Client represents that they have read, agree to, and are bound by the following:

For purposes herewithin, 'The Mac Magician', shall be referred to as 'TMM'. For the purposes of the protections granted in this agreementby Client, all such protection shall protect 'TMM' and any and all Independent Consultants. 'Client" shall mean any person, corporation, entity, or any other agent communicating with TMM. 'Client' and 'Clients' shall be used interchangeable. These 'Policies, Terms & Conditions' shall be referred to interchangeably as 'Terms' or 'Term' or 'Agreement" or "Contract". 'Service, Support, and/or Consultation' shall be 'SSC' and be defined as any work, product, advice, consultation, service, support, or any other product a result of communication or work done with or by TMM.

The follow is meant to provide clients with the general polices, terms, conditions, and example of warranties and guarantees which may or may not exist for SSC, of TMM, and to inform Clients of their burdens herein. This is in no way intended to represent any warranty for any SSC and the client understands that it is their burden to ask for particular warranty and guarantee information, including availability of warranty or guarantee for SSC. Written warranties are honored and all other claims are handled at the sole discretion of TMM. TMM may at TMM's discretion, waive or modify any Terms for the benefit of Client. This does not indicate any other waiver of any same or similar right at any other time. No SSC automatically caries with it or has any warranty or guarantee of any type. At TMM's sole discretion a warranty or guarantee may be made available for SSC. No guarantee ever exists for data recovery, password reclamation, or any other form of forensic computing. All parts replaced, and price quoted for replacement, are on a core basis, where the replaced part will be returned to TMM.

Use of this web site, contacting TMM,or SSC from TMM represents Client's agreement and acceptance of Terms. All Client's are construed as bound to and by Term's and accept Terms before any work or service is offered or performed. Terms are subject to change without notice and Client agrees they are considered notified of any such change as of the time the change is posted to this web page.

Computing activities are relevant to and dependent on each other. Certain changes a Client wishes to have made to their computer may have unforeseen adverse effects ('Conflicts') on the operation of their computer. TMM will take all reasonable precautions to avoid this, and make any recommendation appropriate. In no event shall TMM be responsible for any such Conflicts or for the unpaid repair of such Conflicts. If such Conflicts do arise, TMM will have the discretion, and sole choice of, offering an estimate to work with said Conflicts. If Conflict arises during course of SSC, TMM or Client may decide to stop SSC. If work is stopped by either party, payment is due to TMM for any and all completed SSC, as determined by TMM.

TMM is not liable, and shall be held harmless for any and all claimed damage and/or loss, including lost business, sales, license violation, and profit. Client agrees to defend TMM against any and all claims arising from any SSC.

Client agrees that if software or hardware is purchased during SSC, TMM will be fully reimbursed according to billing terms. Clients agrees to have received any and all applicable licenses for hardware and software and is bound by such license. Client agrees that Client is considered the original purchaser of hardware and software unless notified by TMM. Client represents to TMM that any software provided to TMM for installation, backup, or use is owned by Client and Client's appropriate license for such use.

Estimates shall be given as asked for by Client, if appropriate. TMM may require prepayment for any or all SSC at TMM discretion. If SSC is going to unexpectedly exceed estimate, TMM will cease SSC and give Client revised estimate. As a majority of work is performed on an emergency basis, an invoice will only be provided at time of service if requested by Client. An invoice will be provided after SSC completion if requested.

Billing Terms are payment due at time of SSC directly to TMM Independent Consultant providing SSC. Prices for SSC are listed on the 'Rates & Pricing page of this web site. TMM may offer alternative pricing on a per job basis. TMM may require prepayment for SSC. TMM may arrange other payment terms with Client at TMM's sole discretion. No refunds are issued. Full payment is due prior to receipt of hardware for upgrades and repair. Payment for parts due in advance of all repairs. TMM shall have a perfected lien in (secured interest), and maintain right of possession of, property repaired or upgraded until payment has been made in full. All payments are to be made by cash or check. If a check is used for parts prepayment, a copy of the check must be faxed to TMM as authorization to present a computerized demand draft to Clients bank. In the event of nonpayment, this shall be considered authorization to present a computerized demand draft to Clients bank for full amount of SSC. Funds verification will be performed on all checks. If a check, either faxed, or presented to TMM does not pass funds verification, payment will be due in cash. NSF checks will be charged the maximum service fee allowed by law. Unpaid invoices and NSF checks may be sent to collection and may be prosecuted. In the event of collection proceedings, any and all information retrieved from backups, file recovery, or by any other means shall be used as deemed fit by TMM or proper authorities for collection of debt.

Governing Law. Unless TMM brings action in another jurisdiction, this Agreement shall be governed in and construed and enforced in accordance with the laws of the State of Minnesota. The federal and state courts within the State of Minnesota, Hennepin County, shall have exclusive jurisdiction to adjudicate any dispute arising with the Agreement. Client hereby consents to such jurisdiction. If any portion or clause of this Agreement is found to be unenforceable or in violation of, or invalidated by any legal code or statute, of the jurisdiction which is agreed upon, it shall not invalidate or cancel the entire Agreement, or any other portions or clauses herein.
